PO Reconciliation App End-User License Agreement

This End-User License Agreement (Agreement) is between KidSole (we, us) and the person or business using KidSole's purchase-order reconciliation app (App). By using the App, you agree to this Agreement. If you use it for a business, you represent that you have authority to accept these terms for that business.

1. License and permitted use

Subject to this Agreement, KidSole grants you a limited, non-exclusive, non-transferable, revocable license to use the App to review and reconcile purchase orders, bank deposit information, and related email records for your authorized business purposes. You may not sell, sublicense, reverse engineer, interfere with, or misuse the App, except where applicable law prohibits a restriction.

2. Account access and authorization

To use relevant features, you may choose to authorize the App to access bank deposit information and email data through the access methods presented to you. You are responsible for ensuring that you have the right to provide that access and to use the records you connect. Only authorize accounts you are permitted to manage. The permissions and data accessed depend on the connections you approve. Review the permissions presented by your bank, email provider, or integration before granting access. You can revoke access through the relevant provider or integration settings, although doing so may stop reconciliation features from working.

3. Your data and privacy

You retain your rights in the data you provide or authorize the App to access. You permit KidSole to access and process that data as needed to provide, secure, support, and improve the App, subject to applicable law and KidSole's Privacy Policy. This Agreement does not replace that policy. Do not connect data you are not authorized to share.

4. Reconciliation results

The App helps identify and organize potential matches and discrepancies. Its output may be incomplete or inaccurate and is not a substitute for reviewing your bank records, purchase orders, or accounting records. You remain responsible for verifying results and making financial or accounting decisions.

5. Availability and changes

KidSole may update, modify, suspend, or discontinue the App or its features. Access to connected services may also change independently of KidSole.

6. Termination

You may stop using the App and revoke connected-account permissions at any time. KidSole may suspend or terminate access if you breach this Agreement or if necessary to protect the App, its users, or legal compliance. Provisions that by their nature should survive termination will survive.

7. Disclaimer and liability

To the extent permitted by applicable law, the App is provided on an “as is” and “as available” basis, without warranties of uninterrupted operation or error-free results. KidSole is not responsible for decisions made solely from unverified reconciliation results. Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
